Job Description:

We are seeking a highly skilled and motivated individual to join our legal team as a Legal Manager - Investment / Fund Management. As a key member of our legal team, you will be responsible for providing legal support and advice on investment-related matters to ensure compliance with applicable laws and regulations. You will work closely with various internal stakeholders, including investment managers, finance, and senior executives, to facilitate and guide investment transactions.

Responsibilities:

  • Due Diligence: Conduct thorough legal due diligence on potential investment opportunities, including reviewing transaction documents, identifying risks, and providing recommendations to the investment team.
  • Contract Negotiation and Drafting: Assist in negotiating and drafting investment agreements, contracts, and other legal documents related to investment activities, including joint venture agreements, subscription agreements, and confidentiality agreements.
  • Investment Structuring: Collaborate with investment teams to develop and implement appropriate legal structures for investment vehicles, including funds, partnerships, and special purpose entities.
  • Investment Documentation: Review and negotiate investment agreements, side letters, and other transactional documents related to fund investments, including joint ventures, co-investments, and strategic alliances. Provide legal guidance and ensure alignment with the fund's investment objectives and compliance requirements.
  • Fund Structuring and Formation: Assist in the structuring and formation of investment funds, including hedge funds, private equity funds, and other alternative investment vehicles. Review and provide legal input on fund documents, offering memoranda, partnership agreements, and subscription agreements.
  • Legal Research and Analysis: Conduct legal research, analyze complex legal issues, and provide clear and practical recommendations to the legal team and business units on investment-related matters.

 

Required Qualifications:

  • A Juris Doctor (J.D.) or equivalent degree from a reputable law school.
  • Admission to the California bar is required.
  • Minimum of five years of relevant experience in investment law, securities law, or corporate law, preferably with exposure to in-house legal environments or law firms specializing in investment-related matters. Solid understanding of investment vehicles, fund structures, and investment transactions, along with familiarity with relevant regulatory frameworks, such as securities laws and financial services regulations.
  • Exceptional written and verbal communication skills, with the ability to articulate complex legal concepts effectively and influence key stakeholders at various levels of the organization.
  • Proven ability to work collaboratively in a team-oriented environment, with a high level of professionalism, integrity, and confidentiality.

Base pay is one part of our total compensation package at Gotion, and is determined within a range. This provides you with the opportunity to progress as you grow and advance your career at Gotion. The base pay range for this role is shown below, and will depend on your skills, qualifications, experiences, and location.

Expected Pay Range
$130,000$180,000 USD
