Everlaw is seeking a General Counsel to oversee legal affairs for the entire company. Reporting directly to the CEO, the General Counsel will serve on the executive leadership team and be instrumental in shaping the company's strategic direction. Externally, the General Counsel will represent Everlaw publicly as a legal thought leader.

In this role, you will work across the organization to lead and provide top tier legal services, ensuring that the legal team continues to meet the needs of the business in a proactive and partnership manner. The General Counsel will understand the industry, operations, product, and sales model to help support business plans, mitigate risks, and find creative and cost-effective solutions to legal issues. This role will support company operations directly or through outside counsel in areas such as contracts, intellectual property, human resource matters, litigation, and corporate governance. As General Counsel, you will also advise Everlaw’s CEO, Board of Directors, and Leadership Team regarding all legal and legal adjacent issues, providing both legal and business counseling on issues of major strategic importance to the company. Additionally, as an expert in the legal field, you will have the opportunity to serve as a spokesperson for the company in press interviews, conferences and events, and engagements with major clients.

In your role, you'll...

  • Own the vision, strategy, priorities, and goals for the legal function to accomplish company business objectives and drive the timely execution of day-to-day legal activities.
  • Lead Everlaw’s in-house legal department, including managing, mentoring, and developing the legal team while maintaining a high performance culture, as well as managing and advising outside counsel.
  • Drive Everlaw’s strategic objectives by working with cross-functional teams to ensure our product, contracts, policies and practices are compliant with the laws and regulations where we operate.
  • Ensure the effectiveness of Everlaw's commercial transactions function in keeping with the company’s fast-paced growth by helping to negotiate deals with large customers while coaching on risks, developing strong relationships with sales and other leaders and their teams across the company and provide them with the highest level of service through counseling, and executing contract/document review and negotiation, advocacy, problem-solving, and education.
  • Provide legal advice, guidance, and business-oriented solutions to executive management and other departments within the organization, including educating stakeholders on key commercial, legal, corporate policy, and other considerations.
  • Advise the company on the risks, including litigation, of possible business decisions and offer advice on how to best mitigate risk; provide guidance on potential litigation through a broad lens, keeping in mind global regulatory risks and business objectives.
  • As the most senior legal officer for a legal technology company, serve as an externally visible Everlaw ambassador in interviews, events, and public appearances. 
  • Collaborate and provide legal support to the People department on all employment matters, including best practices for new employment agreements, equity incentive awards, required training programs, and separation and release agreements.
  • Oversee the development and continuous evolution of standard forms and agreements, policies, training, legal processes, and systems to improve efficiency and velocity as we scale.
  • Serve as corporate secretary to the board of directors: overseeing board meetings, minutes, resolutions, and stock administration. Develop and maintain relationships with board members, support preparation of board-related materials, and attend all board and board committee meetings.
  • Advise on major corporate transactions (e.g., mergers & acquisitions, financing potential IPO, major contracts, and other strategic business initiatives).
  • Support Everlaw’s journey toward operating with the rigor and discipline of a public company
  • Stay up to date with changes in laws and regulations that may impact the organization.

About you

  • You have a J.D. degree from an ABA accredited law school and membership in at least one U.S. state bar (CA or DE preferred)
  • You have at least 10 years of progressive legal experience working in corporate law with 5+ years managing legal teams in-house
  • You have broad, direct experience with a variety of legal matters, including strategic business agreements, commercial contract negotiation, and helping companies understand and shape their approach to government policy and regulations
  • You are detail-oriented with excellent legal judgment, strong organizational skills and proven ability to deliver creative, thoughtful, and business-focused solutions
  • You are comfortable with public speaking and being an external face of Everlaw
  • You have significant experience leading a multi-disciplinary legal team, including the ability to develop strategies to attract, develop and retain a high-performing diverse staff
  • You are highly effective in communicating complex technical legal matters to a variety of stakeholders at all levels
  • You have a demonstrated ability to set strategy, targets, and achieve desired results
  • You have experience working in a fast-paced, high-growth environment and providing direction and leadership under tight deadlines
  • You approach legal matters from a user-centric and business-centric view, working to find solutions while mitigating risk
  • You have experience supporting a global organization with international offices
  • You are authorized to work in the United States; please note that at this time, Everlaw is not sponsoring visas for any positions

  • The expected salary range for this role is between $275,000 - $355,000. The final offered salary will be dependent upon many factors including the candidate’s experience and skills. The base pay range is subject to change in the future.
