To assist Twist, a recently publicly traded company, in its growth and expansion, we are seeking a Securities Counsel. Reporting to the Corporate Counsel, this role will be instrumental in advising Twist on U.S. corporate and securities matters, including public company disclosure requirements, corporate governance matters and transactional work.
What You’ll Be Doing
Prepare and review SEC filings, including Form 8-Ks and the annual meeting proxy statement and related documents, Section 16 filings, and Forms 10-Q and 10-K
Assist in the coordination of board and committee meetings and provide legal support, including the drafting, preparation and review of Board meeting materials
Assist in corporate governance matters
Support Investor Relations and Public Relations teams, including reviewing press releases, earnings releases, investor presentations and other materials
Support M&A activities
Assist in corporate real estate matters, including lease reviews
What You’ll Bring to the Team
3+ years of relevant experience at a major law firm, advising public companies on securities law matters
Proficient knowledge of SEC and Nasdaq rules
Registered to practice in California or be eligible for Registered In-House Counsel (RIHC) status in California
Experience advising technology and/or life sciences companies
