About the Role:
At Pathward, the Senior Vice President, Deputy General Counsel reports to the Chief Legal and Administrative Officer and will oversee legal advisory support for Pathward Financial, Inc. and Pathward, NA (collectively the “Bank”) as directed.
What You Will Do:
- Play a vital role on our legal team by providing timely, coordinated, and thoughtful strategic legal advice on a wide variety of legal, regulatory, compliance, and risk-management matters, grounded in applicable laws and tailored to the Bank’s business needs. The role requires proven leadership and management skills, along with the agility, flexibility and a sense of urgency and ownership that’s essential to executing in a highly regulated space. This position reports directly to the Chief Legal and Administrative Officer and interacts regularly with executive leadership, the board of directors, senior management, business units, and our bank’s clients’ legal and compliance teams.
- Facilitate the achievement of business strategies and outcomes by delivering timely legal advice that demonstrates a strong ability to assess legal and regulatory issues in alignment with the organization’s risk appetite and business objectives.
- Lead and manage legal support and guidance for significant banking-as-a-service and payments programs, from initial due diligence through ongoing program management. Review and negotiate contracts with partners, advising the Bank on potential legal and regulatory concerns, including card network rules, payments, consumer protection, privacy, and other applicable laws and regulations.
- Enhance cross-functional legal collaboration to drive positive business results, align with the Bank's long-term goals, mitigate risks, and maximize value.
- Provide legal support and guidance on enterprise-wide regulatory reporting, risk and compliance projects.
- Conduct impact assessments for new products, services, and business initiatives to identify and mitigate risks.
- Ensure that the organization’s risk management policies and strategies align with applicable regulations and the organization’s strategic goals, while supporting audits, examinations, and risk assessments.
- Partner with Risk, Compliance, Internal Audit, Finance, and Government Relations to provide legal expertise and guidance on regulatory issuances, rulemakings, and supervisory interactions.
- Assist with the development, implementation, and maintenance of a comprehensive privacy program that ensures compliance with applicable data protection regulations, including, but not limited to the GDPR, CCPA, and other relevant global, federal, and state privacy laws.
- Engage outside counsel as needed to ensure efficient completion of legal assignments within budget constraints.
- Other duties as assigned.
What You Will Need:
- Juris Doctor (JD) from an accredited law school and admission to at least one U.S. state bar.
- A minimum of 15 years of legal experience in a combination of law firm and in-house roles, preferably with a significant amount of prior work experience in a senior legal role at a federally chartered bank.
- Strong and proven leadership and management experience, self-propelled and motivated, self-aware and humble enough to be able to collaborate across the organization and amongst leaders at all levels of the organization. Experience with Boards and interfacing with them is a must.
- Strong understanding of Banking-as-a-Service, with related strengths regarding compliance, credit, consumer and commercial lending, litigation, and regulatory issues for a federally chartered bank, particularly as applied to the partnership banking model, oversight over a Bank’s third-party relationships and service providers, as well as in the unsecured consumer finance products in the marketplace lending space.
- Strong background in navigating compliance and regulatory challenges in a rapidly evolving payments or fintech environment, including interactions with federal regulators, such as the OCC, Federal Reserve, or FDIC.
- Familiarity with and experience handling issues related to statutes, regulations, and interpretations in the consumer and commercial lending and banking arenas, including but not limited to, TILA and Regulation Z, EFTA and Regulation E, Durbin Amendment, GLBA, UDAAP/UDAP, ESIGN Act, BSA, AML, and OFAC, along with applicable corporate governance regulations and data security rules and guidelines (e.g., GDPR, PCI DSS, Safeguards Rule and CCPA).
- Exhibit strong reasoning, market knowledge and decision-making skills in order to lead projects successfully to completion.
- Excellent analytical, negotiation and communication skills, with the ability to articulate complex legal and regulatory issues to non-experts, build strong connections across the organization, and convey complex legal concepts in a clear and understandable manner.
- An initiative-taking and collaborative problem-solving approach, with a strong willingness to embrace new challenges and adapt to fast changing and rapidly evolving environments.

Salary range: $209,946.92 – $346,412.42
The salary range reflects the minimum and maximum target for a new hire in this role. Individual pay within the range will be determined by multiple factors which can include but are not limited to a candidate’s experience, qualifications, skills, and location.
