We are looking for a new colleague to join our Legal team as a Senior Legal Counsel responsible for providing complex legal and compliance support to Y Soft’s global business.  

We seek an experienced legal counsel to provide legal advice and compliance guidance to our business with respect to the hardware and software (on-premise and cloud) solutions our business offers. You would be responsible for drafting, reviewing, and negotiating complex agreements relating to the solutions that Y Soft deploys and for support and stakeholder management in related matters, including personal data processing, data security, IP protection, and compliance monitoring. You may also be involved in negotiating contracts with our vendors and asked to provide support in the back office, employment, and corporate affairs. What you'll do:

  • Advise the company on legal matters impacting Y Soft, particularly in association with the solutions Y Soft offers to its partners and customers globally. 
  • Ensure that all legal compliance matters related to assigned projects are identified and appropriately addressed accurately and timely. 
  • Assist in creating new or enhancement of existing solutions and their protection, as well as the applicable legal agreements and, potentially, capital markets access structures. 
  • Help to create companywide internal policies, templates, guidelines, and explanatory memos. 
  • Work closely with other attorneys and colleagues both within the company and outside law firms. 

About you:

You must:

  • Have at least 5 years of business law experience, at a premier law firm or corporate legal department (or a combination thereof), including, but not limited to, high impact commercial transactions. 
  • You are qualified and licensed to practice in the location of hire (NY/Texas, USA). 
  • Strong verbal and written communication abilities are a must. This proficiency enables effective interaction across all levels of the organization. 
  • Be able to identify and resolve complex legal issues, particularly multi-jurisdictional cross-border issues, quickly and effectively.  
  • Be  experienced in drafting, negotiating, and closing complex business transactions, particularly in the cloud solutions spheres. 
  • Be able to prioritize conflicting demands from multiple business clients. 
  • Be comfortable participating in scheduled calls before or after normal business hours (both early mornings and late evenings) to accommodate global time zone issues. 
  • Have a basic IP knowledge. 

We will be super happy if you have:

  • Experience structuring and drafting agreements to govern complex commercial relationships under English Law. 
  • Experience with providing support on IP law matters in the EU, UK, APAC or USA. 
  • Experience with providing support on employment law matters in multiple EU jurisdictions, UK, APAC, or USA. 
  • Orientation in the global regulatory environment in the area of data privacy, including awareness (and understanding of the implications) of the EU-U.S. Data Privacy Framework and the EU and UK GDPR. 
  • Global legal support experience in a corporate global legal team function.
