Manager, Contracts (Legal)
Position Summary:

Reporting to Counsel, the Contracts Manager will lead and provide support to specific clients in drafting, negotiating, and analyzing contracts of higher complexity or impact to the organization. In addition, this position will support the corporate legal function as needed. This role may be located in Brisbane, CA or Novato, CA.
Work Model:
Flex: This role will typically require onsite work 2-3 days each week, or more depending on business needs. In many locations, the business will set certain days each week that Flex employees are required to be onsite.
Responsibilities:
- Draft, negotiate, and administer contracts under minimal supervision
- Partner with business functions to draft, negotiate and administer a wide variety of complex contracts including but not limited to: master service agreements, standalone agreements, work orders, change orders, amendments, consulting and confidentiality agreements as needed;
- Management of contract template processes, including systematic reviews of templates and playbooks, and incorporation of best contracting practices and provisions
- Respond to complex inquiries regarding contract obligations and revisions
- Identify risks and issues, suggest alternatives that lead to the best solution
- Communicate and present information to stakeholders about all contract-related matters
- Develop and implement improvements to the contracting process and ongoing compliance
- Monitor agreements throughout the contract life cycle
- Advise internal teams of company processes, contract status, and make recommendations based on company policies and standards
- Works with internal attorneys, Compliance and other business functions to ensure that templates, and agreements are in compliance with legal requirements and best practices
- Support the corporate legal function in variety of matters, including preparation and review of D&O Questionnaires, preparation and handling of Section 16 filings, providing information and reviewing the proxy statement and Exchange Act reports, as needed
- Works on other legal projects as needed
Requirements:
- Bachelor’s degree required; JD or paralegal certification preferred
- 5+ years of direct contract experience, Biotech / Pharmaceutical Industry preferred
- Ability to independently draft, negotiate, and administer contracts
- Strong contract drafting, negotiating and analytical skills
- Ability to work successfully towards strict deadlines, as well as independently on multiple, simultaneous assignments
- Good judgment in working with clients, and occasionally under ambiguous or challenging circumstances
- Ability to effectively collaborate in a dynamic environment
- Experience with Contract Management systems, Icertis a plus
- PC literacy required; MS Office skills (Outlook, Word, Excel, PowerPoint) #LI-CS1 #LI-Hybrid
The typical annual salary range for this full-time position is listed below. This range reflects the characteristics of the job, such as required skills and qualifications and is based on the office location noted in this job posting. The range may also be adjusted based on applicant's geographic location.
This position is eligible for annual bonus and equity incentives. Actual individual pay is determined by demonstrated experience and internal equity alignment.
Pay Range
$105,300 - $130,100 USD
