The Time Inc. Law Department in NYC is seeking a lawyer to be responsible for the Company’s securities and corporate governance matters and to serve as Assistant Corporate Secretary to the Board.
Oversee all securities and public company governance matters, serve as Assistant Corporate Secretary, and provide legal support for treasury/financing matters
Prepare and review public disclosures and SEC filings, including 10-Ks, 10-Qs, 8-Ks, earnings releases, proxy statements, and Section 16 reports.
Oversee policies and procedures relating to securities law compliance and disclosure matters.
Oversee compliance with NYSE listed company rules.
Assist Investor Relations with shareholder engagement activities.
Oversee and advise on corporate governance policies and issues.
Serve as Assistant Corporate Secretary, including preparing materials, minutes and other items for Board and Committee meetings.
Provide legal support to Treasury, including banking arrangements, cash management, debt covenant compliance and financing transactions.
Experienced/ Knowledgeable: Have a strong educational background, as well as top law firm experience. In-house experience is a plus. You have at least 6 years of experience as a securities/governance/financing lawyer. Member of the New York State bar.
