Summary

Reporting to the General Counsel, the Director, Corporate Counsel will provide legal advice and support on a broad range of corporate legal matters across the organization. Specifically, you will advise and provide legal advice and support on securities law matters such as Forms 10-K, 10-Q, 8-K and S-8, Proxy Statements, and Section 16 reports, annual meeting planning, and corporate governance matters. You will partner with internal teams to draft and review a variety of external and internal communications and materials, including press releases, investor, and shareholder presentations.  The role will also include drafting and negotiating contracts, licenses, R&D agreements and various other complex contracting matters. You will collaborate with the finance and human resources to advise on compensation and stock administration. This role offers a broad range of responsibilities and significant growth opportunities in an exciting and growing company.

Your Role:

  • Advise on corporate finance and securities law matters, including preparing SEC filings such as Forms 10-K, 10-Q, 8-K and S-8, Proxy Statements, and Section 16 reports.
  • Assist with the preparation and planning for the annual meeting of shareholders.
  • Work with internal teams to draft and review earnings releases, press releases, and shareholder and investor communications, particularly for compliance with applicable securities laws.
  • Monitor and analyze regulatory developments and best practices in the securities and corporate governance arenas and drive change and education within the company.
  • Advise on equity, executive compensation, and stock administration matters.
  • Support capital markets transactions including debt offerings, credit agreements, and other treasury‐related matters.
  • Provide advice and counsel on general corporate and corporate governance matters.
  • Drafting, reviewing, editing, and negotiating the company's wide array of contracts, and providing general pre-clinical and clinical trial transaction support across the organization
  • Assessing contracts to determine risk levels and advising on the same and risk mitigation strategies.
  • Collaborating with respect to, and working on, the enhancement, updating, and creation of certain “playbooks” setting forth company guidelines and procedures to scale the legal function as the company grow
  • Continually looking to improve the contracting process to ensure efficiency, accuracy, compliance, and a positive experience with the contracting process for all
  • Assist with the preparation and planning for the annual meeting of shareholders.

 

What You Bring:

  • At least 5 years of experience at a law firm and/or pharmaceutical company
  • Strong substantive experience with SEC reporting (’33 and ’34 Act) and securities laws, preferably from a combination of top tier law firm and public company in-house work
  • Knowledge of the operations of a pharmaceutical company
  • Deep knowledge of corporate law, corporate governance standards and trends.
  • Capital markets experience.
  • Familiarity with equity compensation plans and executive compensation.
  • Familiarity in drafting and negotiating contracts in the pharmaceutical space.
  • Experience as a people manager
  • Bar admission in good standing in Massachusetts Minimum of a bachelor’s degree.
