Role Summary

As the Director of Legal and Compliance, you will use your business- and customer-oriented mindset to manage the day-to-day legal and compliance functions of the company and build a top-class Compliance Management System (CMS).  In this crucial role, you will counsel the company on commercial negotiations and agreements, help procure and maintain company insurance licenses, and leverage your expertise to ensure our innovative business model scales quickly while complying with state and federal regulatory frameworks that could not predict recent developments in technology and analytics. 

This role will report to our General Counsel and is based in our San Francisco Headquarters.

Candidate Profile

  • You have prior firm and/or in-house experience at an insurance company, mortgage company, or other financial institution, working with multiple stakeholders on innovative concepts
  • You have experience building, overseeing or running a CMS or significant portion of your company’s CMS
  • You are an “outside the box” thinker and get excited about applying the law to new business ideas and frameworks
  • You have a practical and pragmatic approach to business, and are capable of advising the company to take risks where warranted and putting your foot down when appropriate
  • You have experience interacting with state and/or federal regulators and have led or managed your company’s response to a regulatory proceeding
  • You have a working knowledge of state laws governing insurance and federal laws governing real estate settlement, customer privacy, and information security
  • You have experience building, overseeing or running a CMS or significant portion of your company’s CMS

Requirements

  • Six plus years of legal experience at a law firm doing financial services transactional or regulatory work, or in an insurance company, mortgage company, or financial services institution
  • Expertise in corporate compliance controls, systems, and processes
  • Positive attitude in working with regulators, and direct experience interacting with federal and/or state regulatory bodies
  • Robust knowledge of the fundamental concepts, practices, procedures, and regulations related to real estate title insurance and settlement services
  • Ability to clearly communicate compelling messages to senior management and internal business partners
  • Superior writing skills
  • Track record of maintaining high-quality performance and quality standards for an organization
  • J.D. required

Responsibilities

You will play a critical role in our success.

In your first 3 months on the job, you will…

  • Develop and implement the initial framework of our company’s CMS
  • Counsel the company on key commercial agreements and partnerships
  • Assist with HR processes and issues
  • Assist the General Counsel and outside counsel with state license applications
  • Consult with team members on product and process issues touching state and federal compliance
  • Own and implement the company’s compliance policies, including, for example, information security policy, vendor management policy, and insurance regulatory reporting systems

After that, you will…

  • Build out the company’s CMS to include testing, monitoring, and complaint management procedures
  • Develop a full suite of company policy and procedures
  • Manage the company’s interaction with state regulators as needed
  • Build and lead the company’s CMS, including policies and frameworks:
    • For complying with individual state laws governing title insurance,
    • To protect customer NPI,
    • To comply with RESPA and other federal laws governing residential title and settlement products and services,
    • To test and monitor the firm’s activities for compliance defects and to implement appropriate corrective action, and
    • For logging, investigating, and resolving customer complaints.
  • Provide day-to-day compliance support and issue resolution to cross-functional teams and serve as the primary contact for new initiatives and projects
  • Manage and coordinate the company’s responses to regulatory examinations, including the facilitation of information gathering, analysis and synthesis of data into a logical and consistent format
  • Manage applications for and maintain new and existing licenses
  • Train existing and incoming staff on issues necessary for state compliance
  • Monitor legislative and administrative activities in key issue areas.
  • Ensure applicable changes are assigned to appropriate parties across the company and follow up for proper implementation
  • Ensure reporting for state requirements is accurate and submitted in a timely manner
  • Develop and implement best practices and continuous process improvements
  • Develop a plan for recruiting and onboarding new compliance team members
