Spaulding Ridge is seeking a detail-oriented and hands-on Senior Corporate Counsel to join our best-in-cloud, best-in-people, technology consulting firm. As Senior Corporate Counsel, you will provide comprehensive legal support across various aspects of our business operations, focusing on contract management, compliance, and day-to-day legal matters.
Ideal candidates will be able to:
- Provide legal counsel to leadership; advise on compliance, privacy, and employment matters
- Prepare, review, draft, and negotiate a wide range of contracts, including MSAs, BAAs, and complex agreements
- Handle lease reviews and negotiations, collections matters, and banking agreements
- Manage employee relations matters, including employee agreements and related claims
- Assist with immigration and global mobility issues
- Oversee litigation and work effectively with outside counsel
- Assist with IP & Trademark matters
- Support expansion efforts and new entity formation
- Participate in M&A due diligence processes
- Review and create company policies
- Develop and implement legal risk management strategies
- Ensure corporate governance and regulatory compliance
Qualifications:
- Juris Doctor (J.D.) degree from an accredited law school
- Active membership in good standing with a state bar association
- 7+ years of relevant legal experience, including in-house counsel experience
- Strong knowledge of corporate law, contract law, and employment law
- Excellent analytical and problem-solving skills
- Strong negotiation and research abilities
- Outstanding verbal and written communication skills
- Detail-oriented with the ability to manage multiple projects simultaneously
- Service-oriented mindset with a willingness to assist across various legal matters
- Ability to work effectively in a fast-paced, dynamic environment
- Willingness to work in a hybrid model, with 2-3 days per week on-site at our Chicago office
Preferred Skills:
- Experience in professional services or technology consulting industries
- Familiarity with cloud-based service firms and related legal considerations
- International legal experience
- Experience with mergers and acquisitions
