Our Assistant General Counsel will help (i) lead our commercial contracting function and work directly with our customer, partner and vendor-facing teams to review, negotiate, draft and manage complex commercial agreements and related tools and processes and (ii) advise product, engineering, operations, and marketing teams on meeting strategic objectives while complying with laws, regulations, best practices, and customer requirements. 

  • Lead an in-house commercial legal function through complex negotiations, prioritizing workflows and clearly communicating divisions of responsibility, deliverables, and timelines to relevant stakeholders.
  • Serve as the primary point of contact for sales, business development and other internal Snapdocs teams in commercial contracting matters.  
  • Draft, review and negotiate a wide variety of commercial agreements with a primary focus on SaaS agreements, our purchase of software and services agreements, NDAs and co-marketing, alliance and technical integration agreements
  • Support our sales and customer success teams in negotiating contracts with customers from start to finish and provide tactical advice to help close deals quickly and efficiently
  • Build and support the product and privacy counseling function within the legal team, including processes and operations. Design, implement, and iterate on policies, processes, and procedures to improve the legal team’s engagement model with the product and engineering organizations.
  • Work closely with Snapdoc’s information and security team on shared goals and objectives. Support the Go-to-Market Product teams in escalated customer questions related to privacy and help enable the commercial legal function with up-to-date templates and strategies as it relates to privacy.
  • Remain current on applicable laws and regulations surrounding contract law, IP, privacy, and security and conduct periodic employee trainings on any or all of the above
  • It will be important for this person to develop strong relationships with our internal Sales and Customer Success as well as our internal Engineering and Products teams.  We are also looking for someone who will represent Snapdocs well in front-line customer and vendor negotiations and discussions.

  • Track record of growing and scaling an in-house commercial legal team and building commercial processes
  • Ability to work with diverse teams through complex negotiations, clearly communicating divisions of responsibility, deliverables, and timelines to relevant stakeholders
  • Must be comfortable engaging in front-line, live (via phone or zoom) commercial agreement negotiations (ability to negotiate and draft “on the fly” would be very helpful)
  • Working knowledge of privacy laws, including CCPA and GLBA
  • Possess technically excellent and persuasive negotiation, commercial drafting, and communication skills
  • Ability to develop strong relationships across the company to foster an environment where the legal department is consulted early and often
  • Possess a bias towards action with a strong work ethic
  • Be highly responsive with a service-oriented attitude and the ability to prioritize and multi-task numerous projects simultaneously
  • Ability to calibrate risk and think “outside-the-box” to provide commercially-driven legal advice, supporting innovation while appropriately protecting the company
  • Ability to work efficiently and effectively as a key member of a small but impactful legal department in a fast-paced and constantly changing environment
  • Possess the highest ethics and morality

Qualifications:

  • 8+ years of relevant legal experience
  • 6+ years of experience in a law firm and/or in-house legal department 
  • Juris Doctor from an accredited law school 
  • Member in good standing of at least one state Bar  

Nice to have:

  • Mortgage lending experience and/or real estate experience, or experience working with companies in other regulated industries
  • Prior in-house experience at a growing startup
