Here at OnDeck, we are seeking a Associate General Counsel - Securities who is a self-starter and enjoys working in a dynamic, fast-paced and collaborative environment. In this challenging position, you will report directly to the Deputy General Counsel and work closely with other members of the business, advising on an array of securities law, governance, corporate and other matters.

As Associate General Counsel - Securities at OnDeck, you will:

  • Ensure ongoing compliance with OnDeck’s public reporting and NYSE-listed company obligations
  • Work closely with OnDeck’s senior management, finance and accounting teams
  • Provide support on governance matters, including Board and Committee minutes
  • Handle other securities law and governance matters, including:  our insider trading policy, Regulation FD compliance and Sarbanes-Oxley compliance
  • Assist with executive compensation and equity compensation disclosure/administration
  • Work on earnings releases, analyst and investor presentations and disclosure issues
  • Draft, negotiate and advise on third party strategic business arrangements
  • Coordinate with outside counsel while effectively managing work product and costs
  • Have a respectable work-life balance

Necessary qualifications for success:

  • You have an undergraduate degree and a JD degree from a top school
  • You have at least 5 years of combined relevant legal experience with a top law firm and/or with a public company, with in-house experience strongly preferred
  • You have deep expertise in representing public companies in securities law matters, including preparing  10-Ks, 10-Qs, 8-Ks, proxy statements and Form 4s and public and private offerings of securities
  • You have strong general corporate law, governance and transactional experience, including M&A and joint venture experience
  • You are financially literate and familiar with basic accounting matters 
  • You have experience with NYSE listed company requirements and Sarbanes-Oxley compliance
  • You are familiar with executive compensation matters and Form S-8 registrations
  • You are extremely well-organized and have excellent attention to detail
  • You have excellent drafting, analytical and communication skills, with a strong ability to draft and review legal documents, analyze and formulate legal advice and apply legal advice to business needs
  • You have the ability and desire to work both collaboratively and autonomously
  • You effectively prioritize and manage multiple matters
  • You are flexible and willing to handle a wide variety of other matters to support of our business, even if they are outside your usual comfort zone
  • You have an interest in helping our small business borrowers grow their businesses
  • You will work at our NYC headquarters
  • You are a member of the NY state bar in good standing and have the highest of ethical standards

Nice-to-haves (not required):

  • You have experience with investor relations and corporate communications matters
  • You are familiar with commercial real estate leases
