Human Interest’s Legal Team is looking for an exceptional Stock Administrator & Paralegal to join its growing team. Reporting to the Senior Counsel, Corporate & Transactions, you will be responsible for the day-to-day operational and administrative management of Human Interest’s equity compensation program, including compliance, employee education, processing, reporting, and recordkeeping. You will also assist the Senior Counsel with other corporate matters, including corporate governance, corporate transactions, and entity management.
What you get to do every day
- Manage the day-to-day administration of Human Interest’s equity compensation program, including ensuring the company’s cap table is current and accurate and processing and supporting grant, vesting, exercise, settlement, termination, and cancellation activity
- Maintain pending grant lists and prepare Board materials on an as-needed basis
- Prepare summary reports and perform forecast modeling scenarios for shares available, participant vesting, etc.
- Educate employees on Human Interest’s equity program by developing and maintaining communications systems, responding to specific questions, driving regular Q&A sessions, preparing training materials, and leading employee training sessions
- Partner with Human Interest’s Finance, Legal, and People teams to ensure accurate budgeting, financial reporting, timely tax withholding and payroll reporting, and compliance with securities and tax laws and regulations and disclosure requirements
- Perform monthly, quarterly, and annual reconciliation of records between equity database and general ledger, HR, payroll, Board approvals, and tax reporting
- Prepare and maintain documentation of equity-related processes for external audits and compliance with internal controls
- Participate in other compliance program development as needed
- Assist with corporate governance support for all Human Interest entities, including maintaining corporate records, preparing corporate organizational and operational documents, and managing corporate governance filings
- Provide support and project management for document and administrative needs in transactions (e.g., financing and M&A transactions)
- Spearhead efforts to grow and scale the equity administration and general corporate governance functions through automation and process improvement
- Work on special legal projects as needed
What you bring to the role
- Bachelor’s degree; Certified Equity Professional (CEP) certification preferred
- 5+ years of experience in an equity administration role at a private or publicly traded company or at a large law firm
- Familiarity with typical startup practices and documents (SAFEs, equity issuances, venture financings, etc.) a plus
- Experience with public company reporting a plus
- Experience managing equity administration software such as Carta
- Excellent time management and prioritization skills with ability to manage multiple projects at once and with tight deadlines
- Demonstrated ability to perform and thrive in a rapidly changing, fast paced environment
- Superior organizational skills and attention to detail and accuracy
- Strong communication skills, both written and verbal
- Collaborative and customer-focused with high level of professionalism and business judgment
- Ability to handle confidential information with discretion

Compensation - The salary range target for the role seniority described in this job description is $80,000 - $100,000. Final offer amounts depend on multiple factors including candidate experience and expertise, geographic location, compensation/equity mix, and market data. This position may also be eligible for additional incentives such as equity awards, short-term incentives, or sales compensation.
