This is a dynamic role managing the administration of Visus’ contracts supporting our internal legal, research, and business teams, involving frequent interaction and collaboration with company leadership, external partners, and outside counsel. This position will be responsible for drafting, reviewing, and gaining the necessary approvals for execution of contracts as necessary to support company needs. Reporting to the Chief Operating Officer this is a unique opportunity to identify improvements to business processes, implement changes, and lead the coordination of contracts within a growing team. The dedicated and ambitious person who takes this role will have a strong attention to detail and be comfortable working flexibly as part of a multifunctional team to solve both legal and business matters in a growing startup environment. 

Location:  

This position can be based in either our Seattle or Irvine office. We are open to remote candidates, but preference will be given to those willing to work in either our Seattle or Irvine office.

Responsibilities: 

  • Contract Lifecycle Management 
    • Manage the ICERTIS contract management system to ensure that Visus is maximizing the capabilities of the system and streamlining work processes
    • Maintain and expand the functionality of ICERTIS 
    • Serve as main point of contact for inputs and information related to ICERTIS
    • Provide regular updates of key contract deadlines / auto-renewals / projected expirations 
    • Support maintenance of library of standardized form documents, contract clauses, and templates 
    • Drafting, reviewing, and negotiation of basic agreements from Company templates such as confidentiality agreements and consulting agreements. 
  • IP Portfolio Management: 
    • Support IP team in maintaining and updating IP docket and tracker for all IP assets, including patents and trademarks
    • Work collaboratively with the Executive Director of IP on matters related to IP documentation and assisting with the management of outside counsel
  • Corporate Governance Departmental Support
    • Assist the CEO and CFO in matters related to confidential contracts and CDA’s for various business transactions
    • Assist Research and Development, Operations, HR, Business Development and Marketing in the creation and execution of contracts, licensing agreements, master service agreements, CDA/NDA’s, SOW’s, quality agreements and other document needs as they arise throughout the business
    • Provide insights and suggestions as part of the document review process to help internal employees navigate complex agreements that may include technical aspects such as development work, IP, supply agreements, etc

Qualifications: 

  • 2-4+ years of corporate paralegal and/or contracts management experience either in a law firm or in-house environment 
  • Prior significant experience with a contract management system (ideally, ICERTIS) and building out related SOPs, etc.
  • Familiarity with biopharmaceutical/life science industry is preferred 
  • Excellent written and verbal communication skills 
  • Proficiency with Microsoft Office suite, including Word, Excel and PowerPoint 
  • Ability to work independently and prioritize tasks/projects 
  • A strong sense of professionalism and discretion 
  • Extremely organized and detail-oriented 
  • Enthusiastic and open to learning new subject matters

Founded in October 2019, Visus Therapeutics is a clinical-stage pharmaceutical company focused on developing innovative ophthalmic therapies to improve vision for people around the world.
