The Basics:

The Senior Contracts Manager will support the rapid growth of our business in EMEA with a focus on France and Germany and certain other countries in Asia-Pacific by providing contracts and other transactional support to our sales teams. You will provide support in the negotiation and drafting of end user agreements of all types and transactional documents for customers and partners, and guidance and advice on all commercial legal activity for the EMEA and international business units. Whilst you will be working alongside the Senior Director of Contracts for EMEA (also supporting the same regions), this is a highly autonomous role and as such you will be empowered to make decisions on the contractual positions to be applied such as data privacy-related terms as relevant to software/saas agreements, the breadth, depth and scope of contractual warranties, indemnities and liabilities, all in accordance with corporate guidance and policies, and in consultation with the Senior Director of Contracts. You will work closely with cross-functional team members to ensure the contractual obligations are understood by the impacted teams and will advise certain leadership team members on the status of the deals and commercial strategies relative to key transactions in their region(s). In addition, you will be responsible for maintaining weekly forecast updates and working directly with Contract Operations team members for marking and tracking specific contract terms through the Contract Life Cycle (CLM) tool.

What you’ll do:

  • Advise direct manager on proposed contract model and risk tolerances for supported regions
  • Work autonomously to develop commercial, legal and support terms for supported regions
  • Draft, negotiate and manage complex end user and partner order forms for accounts in support regions
  • Interpret contracts and advise internal stakeholders and senior leadership team on contractual matters and risk
  • Implement and follow negotiation and playbook policies and strategies
  • Utilize CRM, CLM and E-Signature tools, e.g., Salesforce, Conga and DocuSign, respectively
  • Administer and communicate non-standard contractual obligations to sales and technical teams
  • Prepare and deliver contract training materials for sales and technical teams
  • Prepare executive level summaries and escalations for all contract types

We’re looking for someone with:

  • Must have at least 3 years of relevant experience with commercial end user contract negotiation and management
  • Be able to manage multiple negotiations and work efficiently under pressure
  • Be able to work independently
  • Demonstrable contracts experience as a legal professional in a large law firm or corporate setting
  • Qualified in French or German law or with a strong working knowledge of one or both including GDPR with some international contracting experience
  • Fluent in spoken and written French or German is desirable
  • Experience in proposal responses, contract negotiations, and contract performance; must be able to clearly and effectively communicate with all levels of management and customer personnel
  • Significant experience in drafting and negotiating software licensing agreements and software-as-a-service contracts
  • Strong writing and negotiation skills in the English language, willingness to work hard, and a desire for significant responsibility, client interaction, and teamwork with sales and other internal departments
  • Must be able to work independently and manage multiple negotiations simultaneously collaborating with Senior Director of Contracts regularly
