Job purpose:
The Legal Counsel role will be based at Janes HQ in Croydon, London and will report into the Janes Group General Counsel, UK. You will be an integral part of the global Janes Legal and Compliance function. The role will involve providing day to day legal counsel and support to Janes business and requires multi-tasking capabilities, and operating with absolute accuracy, efficiency and attention to the detail. Along with legal expertise there will be an emphasis on assisting with corporate governance and compliance matters including drafting boards resolutions, maintaining corporate risk registers, counterparty screening activities, supporting on risk governance framework and roll out of compliance trainings.
Being part of a very demanding Janes Legal function, you will get opportunity to support global and highly varied legal issues arising relevant to a data and analytics business, including general commercial contracts/orders, procurement (IT, marketing etc) contracts, corporate governance and IP matters.
HOW YOU WILL CONTRIBUTE AT JANES
- Good competency to draft, review, interpret and advise on variety of complex commercial contracts (including data/ software licensing) with customers/ partners (in government and industry) and other procurement/supplier arrangements as per Janes standard playbook/precedence and policies.
- Demonstrate strong legal acumen and legal drafting and interpretation skills. Ability to negotiate legal contracts with external customers/suppliers and provide legal support to internal stakeholders.
- Support Compliance matters including assisting maintaining Corporate Risk registers, drafting policies, risk governance framework, compliance trainings and counter party due diligence and risk assessment.
- Provide support on corporate governance/company secretariat matters incl drafting board resolutions, minutes and filings.
- Ensure the organization's internal contract documents/repository are well maintained.
- Identifying legal gaps in the business/contracting processes for improvement and ability to identify (or keenness and ability to learn) legal intricacies of complex data licensing.
- Ability to run present and hold workshops for the colleagues in sales to train on legal and compliance processes.
- A team player and ability to collaborate with GC and other team members to achieve personal and team’s success. Ability to collaboratively work with cross functional teams.
- Meticulous self-starter with high EQ and proactively able to identify opportunities of legal support and someone with willingness and ability to travel (if required).
REQUIREMENTS
- Qualified lawyer (at least 3+ PEQ) in any jurisdiction (UK preferable) with proven ability to demonstrate a solid legal acumen and drafting skills.
- Experience working in a global fast-paced Data Analytics business or Software / Technology business with exposure to one of more of key areas of commercial contracting, compliance and/or govt. contracting.
- Hands-on, comfortable working as part of a multidimensional team and comfortable escalating matters to the GC for awareness and input.
- Ability to exemplify a strong attention to detail and rolling out processes and policies
- Previous experience working within in-house Legal function or private practise with commercial contracting exposure is strongly preferred
- Must possess excellent written legal drafting skill, oral communication skills and legal interpretation skills
- Capable of professionally managing confidential information
- High emotional quotient, proactive and keenness and ability to learn and grow within the team.
