What we would be looking for in the future when a Corporate Counsel position opens up:

As the Corporate Counsel, you will play a key role within our dynamic and collaborative legal team, reporting directly to the General Counsel. This role offers an exciting opportunity to support both corporate legal matters and the commercial team, enabling the company’s growth and operational excellence. The ideal candidate will have at least 4 years of experience in corporate transactions and commercial agreements, ideally from both law firm and in-house settings. 

This position is based at our headquarters in Santa Clara, CA, with a hybrid work model of three days per week in-office. 

Responsibilities: 

  • Commercial Transactions: 
    • Draft, review, and negotiate a variety of commercial agreements, including customer MSAs, NDAs, vendor contracts, and channel/partner agreements. 
    • Work closely with the commercial team to facilitate deal execution, providing pragmatic and business-oriented legal counsel. 
    • Help refine and implement contract templates, playbooks, and processes to enhance efficiency and scalability. 
  • Corporate Support: 
    • Assist with corporate governance, including maintaining corporate records, entity management, and ensuring compliance with corporate policies. 
    • Support equity transactions, board minutes, stock transfers, and other corporate matters. 
    • Collaborate with the General Counsel on corporate compliance, and special transactions and projects as needed. 
  • Advisory: 
    • Provide clear, practical advice to cross-functional teams on commercial and corporate matters, balancing legal risk with business goals. 
    • Assist with legal matters involving privacy, intellectual property, and commercial disputes. 
    • Process Improvement: 
    • Support ongoing improvements to workflows, contract management systems, and other tools to streamline legal processes. 

Experience:

  • 3-5 years of legal experience, with a focus on corporate transactions and commercial contracts. A mix of law firm and in-house experience is preferred. 
  • Strong drafting and negotiation skills with attention to detail. 
  • Familiarity with corporate governance, equity transactions, and compliance matters. 
  • Experience with B2B SaaS agreements, vendor contracts, and partner/channel deals is a plus. 
  • Working knowledge of data privacy, IP, and commercial dispute issues. 
  • Proactive, adaptable, and eager to learn. 
  • Excellent communicator who can collaborate effectively with internal teams and external stakeholders. 
  • Ability to manage multiple projects, prioritize effectively, and deliver results under deadlines. 
  • Strong work ethic, with a team-oriented mindset and a commitment to excellence.

The pay range for this position is expected to be between $111,000 and $155,667/year; however, base pay offered may vary depending on multiple individualized, non-discriminatory factors, including market location, job-related knowledge, skills, and experience. The total compensation package for this position may also include other incentive compensation opportunities in the form of discretionary annual bonus or commissions, and equity. Additionally, full-time employees are eligible to participate in our comprehensive benefits program, including health and wellness benefits, 401(k) retirement plan, life and disability insurance coverages, and other benefits the Company may offer from time to time.
