Job Description

Elwood where you will be responsible for providing company secretarial services
to Elwood Holdings Limited in both London and Jersey (and its Group subsidiaries where
applicable). A key part of the Company Secretary’s role is to liaise effectively with the
relevant board of directors and company shareholders, and in some cases, executive
management, tax advisors or external clients. This is a part time role which we anticipate
will require three (3) days a week.
Responsibilities
The Company Secretary shall be required to:
- Guide (and where requested, advise) the Chairman and the Board of directors
to ensure they are operating in accordance with rules, regulations and the
Articles and Terms of Reference - Organise Board and Committee meetings for group entities including liaison
with board/committee members to make suitable arrangements for
attendance - Support the Chairman in ensuring the board functions efficiently and effectively
- Facilitate good communication between the Board, committees, senior
management and non-executive directors, and shareholders - Take responsibility for the administration of the relevant companies, for
example: maintaining statutory books, including registers of members,
directors, and secretaries, and shareholders with all their past and present
shareholdings, organising board meetings including preparation of Board
packs and annual general meetings (AGMs), preparing agendas and taking
minutes and ratification/signing of tabled documents - Monitor the implementation of Board resolutions
- Maintain statutory records and file necessary documents with the Register of
Companies in Jersey and Companies House in the UK, such as annual tax
returns and audit reports - Ensure that all cosec activities are carried out in compliance with legal and
statutory requirements - Inform the relevant statutory body when any significant changes to the
company’s share capital, administration and directorship or registered address
have taken or are proposed to take place - Incorporate new Group companies as required from time to time.
- Monitor changes in relevant legislation and the regulatory environment and
take appropriate action (with assistance where appropriate from Legal) - Liaise with external regulators and advisers when required, such as lawyers and
auditors in relation to requests for information and documentation - Assist with compliance related activities of group entities
- Develop and oversee the systems that ensure the group companies comply
with all applicable codes, in addition to legal and statutory requirements - Oversee the payment of dividends
- Assist HR and Legal with the execution of share option schemes on a quarterly
basis and issuing share certificates to Group employees in accordance with
statutory requirements - Participate in and assist the Board with share issues, mergers and takeovers
Qualifications / Knowledge
- Company secretarial background – Min 3 years
- ICSA qualified or studying (desirable)
- Law Degree(desirable)
- Sound understanding of legal and regulatory environments
- Understanding of and familiarity with Companies House
- Ability to understand and distil discussions surrounding complex strategic and
management issues - Proficient minute writing and excellent drafting skills
- Self-motivated to deliver a quality service with good personal time
management skills. - Able to take ownership of problems and see through to resolution
- Ability to communicate clearly and work effectively
- Good organisational and time management skills
- Good standard of oral and written communication skills
- Able to work autonomously
- The ability to work under pressure
- The ability to keep clear and concise records including concise and accurate
minutes - Team player
