The Transaction Advisory Services Manager at Calvetti Ferguson will primarily work on Transaction Advisory Services with the opportunity to grow into being a Manager in Valuation, Mergers & Acquisition (Sell-Side Representation), Litigation Support and Bankruptcy & Restructuring Services. The primary role of the Manager is to assist in the strategic development and execution of Quality of Earnings projects, appropriate transaction structure, including the execution of financial due diligence. The Manager works to understand profit drivers and trends, assists with purchase agreements and post-closing transaction matters. The Manager is responsible for identifying issues for purchase price reductions, deal structuring or deal termination, and post-acquisition action steps to achieve anticipated earnings/cash flow improvements. The Manager is responsible for the overall engagement management, quality and completion timelines. They will assist in the review of data book and reports prepared by Associates and Senior Associates. The Manager will prepare client-ready deliverables. The Manager is an excellent communicator and team leader and is able to manage and develop junior staff. 

The Advisory team works for our middle-market clients on projects across multiple skillsets, such as business valuations, transaction services (quality of earnings, buying and selling of businesses), bankruptcy & restructuring, litigation consulting and general corporate consulting. The Manager will have the ability to cross-train and learn to be proficient in other services lines within Advisory. 

Basic Qualifications: 

  • Bachelor’s degree in Accounting, Business or Finance required 
  • CPA required or other applicable certification 
  • 5+ years of experience in external audit in public accounting, or equivalent work experience and/or mergers and acquisitions transactions experience 
  • 2+ years of direct Transaction Advisory Services experience successfully executing Quality of Earnings (QoE) projects
  • Supervision / Team Leadership experience and proven ability to recruit, manage, mentor and develop staff
  • Proficient with Microsoft Excel and Microsoft PowerPoint
  • Strong project management skills
  • Demonstrate an advanced understanding of technical accounting literature with GAAP
  • Possess experience with due diligence engagements related to acquisitions by private equity investor groups and strategic corporate buyers, analyzing financial/operational results of targets through reviewing accounting records and conducting interviews with management, and preparing pro forma financial information
  • Possesses excellent interpersonal and communication skills in order to interact effectively with internal team members and external clients of the firm
  • Demonstrates independent thinking and strong decision-making skills
  • Interest in business development and willingness/desire to participate in growing the current practice in a designated geographic market
  • Able to work within tight deadlines and take responsibility for getting the job done in a timely manner
  • Able to apply critical thinking and problem-solving skills
