Job Summary
The Head of Global Regulatory Affairs and Entity Corporate Governance will lead the company’s regulatory strategy, ensuring compliance with all relevant regulations will lead the company’s regulatory strategy, ensuring compliance with all relevant regulations. This senior focuses on managing regulatory affairs for the organization and providing strategic guidance on governance matters to support our corporate entities globally. The Head of Global Regulatory Affairs and Corporate Governance will work closely with legal, risk & compliance, and operational teams to implement a regulatory framework that meets both local and international requirements while fostering best practices in corporate governance.
Key Responsibilities
1. Regulatory Strategy
- Develop and execute a comprehensive regulatory strategy that aligns with the company's business objectives and supports its global operations.
- Monitor and interpret global regulatory changes across jurisdictions and assess their potential impact on the company, ensuring that policies and procedures remain up to date.
- Ensure that the organization is compliant with all applicable laws, regulations, and standards, including industry-specific regulatory requirements.
- Collaborate with internal teams to implement regulatory initiatives and ensure effective risk management practices are in place.
- Serve as the primary liaison with regulatory authorities and lead regulatory filings, audits, and inquiries to maintain a positive relationship with regulatory bodies worldwide.
- Entity Corporate Governance
- Oversee the governance framework and practices for all legal entities globally, ensuring compliance with local legal, regulatory, and filing requirements.
- Maintain an accurate and up-to-date record of all corporate entities, including organizational structures, board and shareholder information, and registration and compliance status for each jurisdiction.
- Prepare, coordinate, and ensure accuracy of corporate governance documents, including board and committee meeting agendas, minutes, resolutions, and annual reports.
- Oversee the company’s annual governance activities, including the preparation of board meeting minutes, corporate resolutions, and annual disclosures
- Support corporate initiatives related to entity management, including new entity formations, mergers, dissolutions, and reorganizations, ensuring adherence to regulatory and governance requirements.
- Ensure timely submission of statutory filings, regulatory reports, and annual disclosures for all entities, managing ongoing compliance requirements.
- Coordinate with local in-country counsel and service providers to manage regulatory filings and audits, ensuring all compliance obligations are met.
- Risk Management for Entity Operations
- Identify and assess regulatory and governance risks associated with the company’s operations, and develop strategies to mitigate those risks.
- Collaborate with the risk management function to integrate governance and compliance risks into the broader enterprise risk management framework.
- Conduct regular risk assessments, audits, and compliance checks to identify gaps and recommend improvements.
- Leadership and Collaboration
- Lead, mentor, and develop a high-performing global regulatory and corporate governance team, promoting a culture of compliance and accountability.
- Work cross-functionally with internal stakeholders, including Legal, Operations, HR, IT, and Finance, to support a cohesive approach to regulatory compliance and governance.
- Serve as a strategic advisor to senior leadership on regulatory and governance issues, including advising on new business initiatives, acquisitions, and partnerships.
- Qualifications
- Education: Juris Doctor (JD) or equivalent law degree preferred; alternatively, a degree in Business, Finance, or a related field with relevant certifications (e.g., Certified Regulatory Compliance Manager, Governance Professional).
- Experience: 15+ years of experience in regulatory affairs, corporate governance, or related legal roles, with a focus on global operations.
- Industry Experience: Experience in EOR services and human experience management. is preferred.
- Leadership Experience: Demonstrated experience leading and building regulatory or governance teams, ideally in a global environment.

- Deep knowledge of regulatory frameworks and corporate governance best practices.
- Strong understanding of international entity management requirements and the ability to navigate multi-jurisdictional regulations.
- Excellent organizational and project management skills, with a focus on regulatory strategy and risk mitigation.
