Position Summary

  • Seeking Assistant Compliance Officer / Assistant Company Secretary to join a small, very busy, and friendly European corporate legal and compliance team which services Assured Guaranty’s regulated platforms in France and Spain
  • Role involves providing legal, compliance and governance support principally to Assured Guaranty (Europe) SA (“AGE”), a French insurance company authorised by ACPR and part of the global Assured Guaranty group.  The role is fast-moving and broad ranging, requiring a motivated, ‘self-starter’ candidate
  • Role to report to the AGE CCO

Primary Responsibilities

Role is very broad ranging, and responsibilities include:

  • Assist the CCO in preparing the calendar of the corporate meetings (Board meeting, Board Committees, General shareholders meeting, Executive Committee)
  • Assist the CCO organizing quarterly meetings of the Board and Board Committees, annual General shareholders meeting and monthly Executive Committee meetings, and prepare the materials therefor
  • Prepare accurate meeting minutes
  • Provide assistance in translating documents between French and English
  • Handle administrative tasks such as filing papers and maintaining and organizing reference files
  • Provide assistance in performing legal research, and organizing and analyzing information
  • Provide assistance in reviewing and monitoring new and updated regulations
  • Coordinate corporate activities with legal advisors, including the oversight and maintenance of the corporate minute books
  • Maintain and update corporate organizational charts and other governance documents
  • Provide assistance in handling specific projects
  • Assist in performing the AML due diligence process
  • Handle corporate filing documentation concerning employee training
  • Provide assistance in health and safety matters of the Company and the related documentation
  • Provide assistance in maintaining the corporate policies and in creating a register of them.

Candidate Background

Essential:

  • Degree with 2-3 years legal studies (license dubrois)
  • Financial services background
  • At least 5 years’ relevant legal, compliance and governance experience
  • Experience working on international matters
  • Fluent in French

Strongly preferred: 

  • In-house experience at insurance company/other financial services firm
  • ACPR experience
  • Familiarity with Diligent/other Board applications
  • Fluent in English
  • Translation and proofreading capabilities
  • Technology skills (Excel, Word, PowerPoint, Outlook)
  • Extremely well-organized and strong time-management skills
  • Problem-solving skills
  • Flexibility, proactivity and “can-do” attitude
  • Proven track record in managing multiple matters successfully
  • Clear written and verbal communicator and able to represent the team well
  • Strong attention to detail and accuracy
  • Comfortable with change and tackling challenges
  • Comfortable multi-tasking and working under pressure
