Ancora Bio is a neuroscience focused biotech portfolio company of Aditum Bio, the biotech investment firm co-founded in 2019 by former Novartis CEO Joe Jimenez and former President of the Novartis Institutes for BioMedical Research (NIBR) Dr. Mark Fishman. The company was formed following the successful in-licensing of a selective vasopressin 1b receptor (V1b) antagonist (ANC-501) from Taisho Pharmaceutical Co., Ltd. Position Summary

The Senior Counsel, Strategic Transactions will take a lead role in executing a wide range of transactions, including in-licensing, financings and M&A. The role will be a trusted thought partner to Aditum Bio’s leadership and business development team, providing high-quality legal advice, from due diligence to company formation. This role reports directly to the company’s Head of Legal.

Position Responsibilities:

There is significant flexibility to shape the scope of the role, depending on the background and interests of the candidate. Potential responsibilities may include:

  • Actively participate in strategic transactions, such as fund formation, in-licensing, financing, and M&A, including identifying key issues and risks, overseeing legal due diligence, and managing outside counsel.
  • Draft and negotiate complex agreements, particularly strategic in-licenses and collaboration agreements and other commercial agreements as necessary.
  • Collaborate with leadership and business development groups on due diligence efforts
  • Work effectively with external stakeholders including outside counsel, advisors and opposing counsel
  • Act as the general counsel for newly formed portfolio companies, counseling cross-functionally on a wide range of legal and operational issues

Qualifications

  • J.D. from a U.S. law school, and member of a State Bar
  • 5+ years of legal experience with law firm and/or in-house experience
  • Experience working in the life sciences industry is required
  • Experience negotiating commercial or corporate agreements is required
  • Demonstrated ability and intellectual curiosity to learn new areas of law quickly
  • Ability to provide practical, business-oriented counseling
  • Ability to analyze and communicate complex legal issues and solutions to non-legal stakeholders
  • Ability to work cross-functionally with lawyers and non-lawyers across the company
